Scope of Application
These Terms & Conditions apply to all business relationships between Venedik Textil GmbH, Teichstraße 8, 40822 Mettmann, Germany (“Venedik Textile”) and its clients.
Any differing terms proposed by the client shall not apply unless expressly agreed in writing.
Services
Venedik Textile provides services related to apparel development and manufacturing, including but not limited to sampling, production, sourcing and delivery of garments.
The specific scope of services is defined individually in written agreements, offers or order confirmations.
Orders and Contracts
A contract is concluded only when an order is confirmed in writing by Venedik Textile.
Verbal agreements or changes require written confirmation to be legally binding.
Pricing and Payment
All prices are agreed individually and are exclusive of applicable taxes unless stated otherwise.
Payment terms, deposits and deadlines are specified in the respective agreement or invoice.
Production may begin only after the agreed payment conditions have been fulfilled.
Production and Lead Times
Production timelines are agreed individually.
Standard lead times are approximately 2 weeks for sampling and 4 weeks for full production, unless otherwise agreed.
Delays caused by force majeure, material shortages or circumstances beyond our control may extend delivery times.
Samples and Approvals
Samples are produced for approval prior to bulk production.
Once samples are approved by the client, Venedik Textile is not liable for deviations resulting from later change requests or incorrect specifications provided by the client.
Quality and Tolerances
Minor deviations in color, material or measurements that are customary in the textile industry do not constitute defects.
Quality standards are defined based on the approved sample.
Delivery and Risk Transfer
Delivery terms are agreed individually.
Risk transfers to the client upon handover to the shipping provider unless otherwise agreed in writing.
Liability
Venedik Textile shall only be liable for damages caused by intent or gross negligence.
Liability for indirect damages, loss of profit or consequential damages is excluded unless mandatory by law.
Intellectual Property
All designs, patterns and specifications provided by the client remain the intellectual property of the client.
Venedik Textile commits to treating all project-related information confidentially.
Confidentiality
Both parties agree to keep all non-public information confidential unless disclosure is required by law.
Governing Law and Jurisdiction
These Terms & Conditions are governed by the laws of the Federal Republic of Germany.
Place of jurisdiction is Düsseldorf, Germany, unless mandatory statutory provisions apply.
Severability Clause
If any provision of these Terms & Conditions is or becomes invalid, the remaining provisions shall remain unaffected.
